1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website at talkory.ai and the application at app.talkory.ai (collectively, the "Service") operated by talkory.ai ("talkory," "we," "us," or "our").

By creating an account, clicking "Sign up," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

talkory.ai is a collective AI intelligence platform that enables users to submit prompts simultaneously to multiple large language models (including GPT-5 Mini, Claude 4 Sonnet, Gemini 2.5 Flash, Sonar Pro, and Grok 3 Mini), receive individual responses, and obtain a consensus-verified answer with a confidence score.

The Service is provided on a "beta" and evolving basis. Features, pricing, and supported models may change over time. We will notify you of material changes as described in Section 15.

3. Accounts and Registration

3.1 Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at ai@talkory.ai if you suspect unauthorized access to your account.

3.3 Accurate Information

You agree to provide accurate and complete information when registering and to keep your account information up to date. Accounts created with false information may be suspended without notice.

3.4 One Account Per Person

You may not create multiple free accounts to circumvent the free query limit. Creating duplicate accounts to exploit the Free plan constitutes a violation of these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

• Submit prompts that are illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• Attempt to generate content that facilitates illegal activity, including terrorism, fraud, or child exploitation
• Circumvent, disable, or interfere with security features of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated scripts, bots, or crawlers to interact with the Service without our written permission
• Resell, sublicense, or commercially exploit the Service without written authorization
• Submit personal data of third parties without their consent
• Attempt to overload or disrupt the Service's infrastructure
• Use the Service to train or fine-tune competing AI models

We reserve the right to suspend or terminate accounts that violate these rules at our sole discretion and without prior notice.

5. Payments and Credits

5.1 Credit-Based Model

The pay-as-you-go plan operates on a prepaid credit basis. You purchase credits in advance and they are deducted as you use the Service. The minimum top-up is $10 USD, which provides approximately 100 queries.

5.2 No Expiry

Purchased credits do not expire while your account is active. Credits may be forfeited upon account termination for cause.

5.3 Pricing Changes

We may change our credit pricing at any time. Changes apply to new top-ups only, existing credit balances are unaffected by pricing changes.

5.4 Payment Processing

All payments are processed by Stripe, Inc. By purchasing credits, you agree to Stripe's terms of service. talkory.ai does not store your payment card information.

5.5 Refunds

Credits are generally non-refundable. If you believe you are entitled to a refund due to a billing error or inability to use the Service, contact us at ai@talkory.ai within 30 days of purchase. We will review requests on a case-by-case basis.

5.6 Taxes

Prices are exclusive of taxes. You are responsible for any applicable taxes (including VAT or sales tax) arising from your purchase. Where required by law, we will collect and remit applicable taxes.

6. Intellectual Property

6.1 Our IP

The Service, including all software, algorithms, design, user interface, trademarks, and content produced by talkory.ai, is owned by or licensed to talkory.ai and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute our proprietary materials without written permission.

6.2 Your Content

You retain ownership of the prompts you submit to the Service ("Your Content"). By submitting prompts, you grant talkory.ai a limited, non-exclusive, royalty-free license to process Your Content solely to deliver the Service (i.e., to send your prompts to AI model providers and return results to you).

We do not use your prompts to train our own models or share them with third parties except as necessary to deliver the Service (e.g., transmitting to AI providers as described in Section 8).

6.3 AI Outputs

AI-generated responses are produced by third-party models. Ownership and licensing of AI outputs are subject to the terms of the respective AI providers. talkory.ai makes no claim of ownership over raw AI-generated content.

7. AI-Generated Outputs, Important Disclaimer

The consensus score reflects the degree of agreement among queried models and the assessed quality of their responses. It is not a guarantee of factual accuracy. Different AI models may produce different results for the same prompt at different times.

You acknowledge that:

• AI outputs may be incorrect, incomplete, or biased
• A high confidence score does not mean an answer is factually true
• talkory.ai is a tool to assist human decision-making, not replace it
• You are solely responsible for how you use AI-generated outputs

8. Third-Party Services

The Service integrates with third-party AI model providers (OpenAI, Anthropic, Google, Perplexity AI (Sonar Pro), xAI (Grok 3 Mini)) and payment processors (Stripe). Use of these providers is subject to their respective terms and privacy policies. We are not responsible for the practices of these third parties.

Links to third-party websites or services in the Service do not constitute endorsement of those services. You access third-party services at your own risk.

9. Privacy

Our Privacy Policy explains how we collect, use, and protect your personal data. By using the Service, you agree to the collection and use of your data as described in the Privacy Policy. The Privacy Policy is incorporated by reference into these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses. We do not warrant the accuracy, completeness, or reliability of any AI-generated content delivered through the Service.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALKORY.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TALKORY.AI IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless talkory.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

13. Termination

13.1 By You

You may delete your account at any time from your account settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Unused credits are generally non-refundable unless required by applicable law.

13.2 By Us

We may suspend or terminate your account, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. We are not liable for any loss resulting from termination of your account.

13.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections 6, 7, 10, 11, 12, and 14 survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which talkory.ai is incorporated, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be resolved first through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with applicable arbitration rules. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

If you are a consumer in the European Union, you may have the right to submit a complaint to your local consumer protection authority or to the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, legal requirements, or our practices. When we make material changes, we will notify you by email and by posting a notice on the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may delete your account.
